Terms of Service

1. Agreement

These Terms form a binding legal agreement between you and Stratix Technologies LLC. They apply when you browse our marketing site, create an account, subscribe to a paid plan, or otherwise use any Stratix product.

If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity, and “you” refers to that entity.

Product-specific terms, enterprise agreements, or data processing addenda may also apply. If there is a conflict, the order of precedence is: (1) a signed enterprise agreement, (2) product-specific terms, (3) these Terms.

2. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to open an account and use the Services, unless a product explicitly permits use by a parent or guardian on behalf of a minor.

You may not use the Services if you are barred from doing so under applicable law or if we have previously suspended or terminated your account.

3. Accounts & registration

Opening an account

To access certain features, you must register for an account by providing accurate and complete information (such as your name, email address, and password, or by signing in through an approved identity provider). You agree to keep your account information up to date.

We may refuse registration, limit accounts, or require additional verification at our discretion—for example, to prevent fraud, abuse, or unauthorized access.

Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@stratixintelligence.com if you suspect unauthorized access.

We are not liable for losses arising from someone else using your account due to your failure to safeguard credentials.

One person, one account

Unless we authorize otherwise (for example, under a team or enterprise plan), accounts are for individual use. You may not share login credentials or sell, transfer, or license your account without our consent.

4. The Services

Stratix provides cloud-based software for professionals, enterprises, and families. Features vary by product and plan and may include AI-powered simulations, coaching, analytics, financial tools, family digital wellness controls, and related functionality.

We may modify, suspend, or discontinue any part of the Services at any time. We will use reasonable efforts to provide notice of material changes that adversely affect paid subscribers.

The Services are provided on an “as available” basis. We do not guarantee uninterrupted or error-free operation.

5. Subscriptions & billing

Free and paid plans

Some features are free; others require a paid subscription. Plan details, limits, and pricing are shown at checkout or within the relevant product.

Payment

If you subscribe to a paid plan, you authorize us and our payment processors to charge your selected payment method on a recurring basis until you cancel. Prices are stated in the currency shown at purchase and may exclude applicable taxes, which you are responsible for where required by law.

Renewals & cancellation

Subscriptions renew automatically for successive periods unless you cancel before the renewal date through your account settings or by contacting support. Cancellation stops future charges; you typically retain access through the end of the current billing period unless stated otherwise.

Refunds

Except where required by law or explicitly stated in a product offer, fees are non-refundable. We may grant refunds or credits at our sole discretion.

Free trials & promotions

We may offer free trials or promotional pricing. We may convert a trial to a paid subscription unless you cancel before the trial ends. Eligibility restrictions may apply.

6. Acceptable use

You agree not to misuse the Services. Prohibited conduct includes, without limitation:

• Violating any applicable law or regulation
• Infringing intellectual property or privacy rights of others
• Uploading malware, spam, or harmful code
• Attempting to gain unauthorized access to systems, accounts, or data
• Reverse engineering, scraping, or reselling the Services except as permitted by law
• Using the Services to harass, defraud, or harm others
• Using AI features to generate illegal, abusive, or deceptive content
• Circumventing usage limits, paywalls, or security measures

We may investigate violations and cooperate with law enforcement where appropriate.

7. AI features

Some Stratix products use artificial intelligence and machine learning. You acknowledge that:

• AI-generated outputs may be inaccurate, incomplete, or inappropriate and should be reviewed by you before reliance
• AI features are not a substitute for professional advice (including legal, financial, medical, or negotiation advice in live situations)
• We may process your inputs through third-party AI providers subject to our Privacy Policy
• We may use de-identified or aggregated data to improve safety and quality, as described in our Privacy Policy and product settings

You are responsible for how you use AI outputs in your work, business, or personal decisions.

8. Your content

You retain ownership of content you submit to the Services (“User Content”), including messages, files, simulation transcripts, and configuration data.

You grant Stratix a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display User Content solely to operate, provide, secure, and improve the Services and as otherwise described in our Privacy Policy.

You represent that you have all rights necessary to submit User Content and that it does not violate these Terms or any third-party rights.

We may remove User Content that violates these Terms or applicable law.

9. Our intellectual property

The Services, including software, design, logos, documentation, and underlying technology, are owned by Stratix or its licensors and protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

You may not copy, modify, distribute, or create derivative works of the Services without our prior written consent.

10. Third-party services

The Services may integrate with or link to third-party websites, payment processors, identity providers, or tools. We are not responsible for third-party services, and your use of them is subject to their own terms and policies.

11. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to those practices.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will meet your requirements, produce specific results, or be secure or error-free. Training simulations, scores, and AI coaching are for educational and productivity purposes only.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATIX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO STRATIX FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Stratix and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your User Content, or your violation of these Terms or applicable law.

15. Suspension & termination

You may stop using the Services at any time and may close your account through account settings or by contacting support.

We may suspend or terminate your access immediately if you violate these Terms, create risk or legal exposure for us, fail to pay fees when due, or where required by law. Upon termination, your right to use the Services ends. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive.

We may retain certain data as described in our Privacy Policy and as required by law.

16. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will post the updated Terms and revise the “Last updated” date. For registered users, we may also notify you by email or in-product notice where appropriate.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services and close your account.

17. Governing law & disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence apply.

Any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in Wyoming, USA, and you consent to their exclusive jurisdiction, unless applicable law requires otherwise.

If you are a consumer in the European Union or United Kingdom, you may also have the right to bring claims in your country of residence under mandatory local law.

18. General

• Entire agreement. These Terms and the Privacy Policy constitute the entire agreement regarding the Services, subject to any separate written agreement.
• Severability. If any provision is unenforceable, the remainder stays in effect.
• No waiver. Failure to enforce a provision is not a waiver of our rights.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.
